General
We must align our mission and goals under The WICT Network: Global.
We serve GA, TN, AL, and LA
We are a 501(c)(3) nonprofit
Officers & Board of Directors
Officers include:
- President
- Vice President
- Co–Vice President (optional)
- Past President
- Senior Treasurer
- Chapter Advisor (appointed by Global)
Board Rules
- Must be active voting members and reside within the chapter’s geographic footprint.
- One-year terms; most roles limited to two consecutive years.
- VP and President may serve only one year in those roles.
- No one may hold two positions simultaneously (with limited exceptions).
- Officers and senior directors are selected by the Nominating Committee.
- Most other directors are elected by the membership.
- Directors at Large are appointed by the President.
Committees
Executive Committee
- President, VP, Past President, Senior Treasurer, Chapter Advisor.
- Acts on behalf of the Board when needed (with limitations).
Nominating Committee
- Past President, President, VP, plus two non-board members.
- Oversees nominations and prepares the annual slate.
Committee Limitations
They cannot amend bylaws, dissolve the chapter, merge, fill Board vacancies, or take actions reserved for the full Board.
Finances
- Fiscal year matches the national organization.
- Strict controls on bank accounts, payments, debit card use, and withdrawals.
- Annual audit required.
- No chapter-level dues.
- Travel reimbursements require approval from two designated officers.
Membership
You must be a current, active member of The WICT Global to be a member of our chapter
Members can’t spend our money without asking us first
Board Operations
- Monthly Board meetings (in person or virtual).
- A simple majority constitutes a quorum.
- Actions may be taken without a meeting via written/electronic consent.
- Directors must attend events, participate actively, meet deadlines, and document processes.
Removal & Vacancies
- A director may be removed by a 3/5 Board vote.
- Excessive absences or major employment changes may trigger review.
- Vacancies are filled by Board vote following a defined process.
Elections
- Ballots sent by end of September.
- Write-ins allowed if eligible.
- Ties decided by the current Board.
- Results certified by November 1.
Policies & Compliance
- Non-discrimination policy included.
- Chapter may only be dissolved by Global.
- Annual bylaw review required.
- Must comply with Sarbanes-Oxley standards.
- Members may inspect records for proper purposes.
- Use of the chapter or national name requires authorization.
- Robert’s Rules of Order governs parliamentary procedures.
